Terms of Service

Welcome to Syngine

Syngine is a platform built for mission-driven communities. It helps organizations support their people through task management, collaboration, coaching, and ecosystem connection. These Terms of Service (“Terms”) are the agreement between you and Syngine Inc. (“Syngine,” “we,” “us,” “our”) that governs your use of the platform.

By creating an account or using Syngine, you agree to these Terms. If you don’t agree, please don’t use the platform.

We’ve written these Terms to be clear and readable. They still carry legal weight, so please read them.


1. Who Can Use Syngine

Eligibility

You must be at least 13 years old to create a Syngine account. If you are between 13 and 18, you may only use Syngine with the consent of a parent or legal guardian, and your use must be in connection with an organization that has agreed to these Terms on your behalf (for example, a school or fellowship program).

We may ask for verification of parental consent where required by law.

Accounts

When you create an account, you agree to:

  • Provide accurate information about yourself
  • Keep your login credentials secure
  • Let us know promptly if you believe your account has been compromised
  • Take responsibility for all activity under your account

Syngine uses third-party authentication (currently through Supabase Auth and Google OAuth). You’re also responsible for the security of those connected accounts.


2. How Syngine Works: Users, Organizations, and the Ecosystem

Syngine has a person-centric data model. This is important and worth understanding.

Your Account Belongs to You

Your Syngine account is yours. It isn’t owned by any organization you belong to. You might join Syngine through a fellowship, internship, consulting engagement, or community program, but your identity on the platform persists beyond any single organization.

Organizations Are Contexts, Not Owners

Organizations on Syngine (like CEA, a university program, or a community accelerator) create workspaces where members collaborate. When you join an organization, you get access to its projects, tasks, playbooks, and conversations. If you leave an organization or the organization stops using Syngine, your account continues to exist.

What This Means in Practice

  • You can belong to multiple organizations at the same time
  • Your personal profile, connections, and account history stay with you
  • Organization-specific content (like project tasks or playbook documents) stays with the organization
  • Content you create in shared spaces (like feed posts or chat messages) is addressed in the Content Ownership section below

3. What You Can Do on Syngine

Syngine provides tools for:

  • Task and project management for teams and individuals
  • Communication through a social feed, direct messages, and group conversations
  • Organizational knowledge through playbooks (roles, processes, procedures, policies)
  • Ecosystem connection through organization profiles and cross-org visibility
  • AI-assisted coaching and productivity through Cecil, Syngine’s built-in AI
  • Time tracking for organizations that enable it
  • Calendar and contact integration through Google Workspace connections

We may add, modify, or retire features over time. We’ll do our best to communicate significant changes in advance.


4. Acceptable Use

Syngine is a professional development community. The standards here reflect that.

Be Respectful

Treat other users with the same respect you’d want in a professional setting. This applies to feed posts, chat messages, comments, reactions, and any content you share on the platform.

Don’t Do These Things

  • Harassment or abuse of any kind, including threats, intimidation, or targeted cruelty
  • Discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, age, or any other protected characteristic
  • Spam or commercial solicitation unrelated to the community’s purpose
  • Impersonation of another person or organization
  • Sharing private information about others without their consent
  • Unauthorized access to other users’ accounts, data, or private content
  • Scraping, crawling, or automated data collection from the platform without written permission
  • Uploading malicious code or attempting to compromise platform security
  • Using Syngine for any illegal activity

How We Handle Violations

We take a developmental approach to enforcement. For most issues, we’ll start with a conversation. Repeated or serious violations may result in content removal, restricted access, or account suspension. We reserve the right to remove any user who creates a harmful environment for others.

5. Content Ownership

Your Content Is Yours

You own everything you create on Syngine: feed posts, chat messages, task descriptions, comments, documents, and any other content you produce. Syngine does not claim ownership of your content.

The License You Give Us

By posting content on Syngine, you grant us a limited, non-exclusive, worldwide license to store, display, distribute, and process your content as needed to operate the platform. This means we can show your feed post to other members, include your task in a project view, or process your content through AI features you’ve opted into.

This license exists only so the platform can function. We won’t sell your content, use it for advertising, or share it outside the platform without your consent. This license terminates when you delete your account, except for content retained in anonymized form as part of an organization’s records per our retention policy.

Organization Content

Content created within an organization’s workspace (playbooks, processes, project-specific documents) belongs to the organization. Individual contributions to organization content are governed by your relationship with that organization, not by these Terms.

What Happens When You Leave

If you leave an organization but keep your Syngine account: Your personal content (feed posts, direct messages, profile information) stays with you. Your contributions to organization-specific content (task updates, project comments) remain in the organization’s workspace.

If you delete your Syngine account: We will delete your account information and personal content within 30 days. Some content may be retained in anonymized form where it’s part of an organization’s records (for example, task completion history). See our Privacy Policy for full details on data deletion.

If an organization leaves Syngine entirely: Individual members keep their personal Syngine accounts, profile information, and any cross-organization connections. Organization-specific content (projects, tasks, playbooks, workspace data) is exported to the organization and then removed from the platform within 60 days of the organization’s departure. Members who were part of that organization will be notified and given the opportunity to export any personal content associated with the organization’s workspace before it is removed.


6. AI Features (Cecil)

Syngine includes AI-powered features through Cecil, our built-in AI assistant. Here’s how it works and what you should know.

What Cecil Does

Cecil provides coaching suggestions, task categorization, content recommendations, daily briefs, and other AI-assisted productivity features. Cecil’s capabilities may expand over time.

How Cecil Uses Data

Cecil processes data you create on the platform (like tasks, posts, and activity patterns) to provide personalized suggestions and insights. When Cecil processes your data:

  • It uses the context of your activity within the platform
  • It may reference organization-level information you have access to
  • It sends relevant data to our AI provider (currently Anthropic) for processing

What Cecil Doesn’t Do

  • Cecil does not make decisions for you or your organization
  • Cecil does not share your data across organizations without your knowledge
  • Cecil’s suggestions are informational, not directives
  • Cecil does not learn from your data to improve models for other users (your data is not used for AI training)

Opting Out

You can opt out of AI features through your account settings. Some platform functionality may be reduced without AI features enabled.


7. Third-Party Integrations

Syngine connects with third-party services to provide certain features:

  • Google Workspace for calendar sync, contacts, and authentication
  • Supabase for authentication and data infrastructure
  • Anthropic for AI processing
  • Resend for email notifications
  • Vercel for application hosting

When you connect a third-party service, that service’s own terms and privacy policy apply to the data they handle. We only request the minimum permissions needed for each integration to function.


8. Availability and Changes

Platform Availability

Syngine is provided on an “as available” basis. We work hard to keep the platform running smoothly, but we don’t guarantee uninterrupted access. We may experience downtime for maintenance, updates, or circumstances beyond our control.

Changes to the Platform

We’re actively building and improving Syngine. Features may be added, changed, or removed. For significant changes that affect how you use the platform, we’ll provide advance notice through the platform, email, or both.

Changes to These Terms

We may update these Terms from time to time. When we do, we’ll update the effective date at the top and notify you of material changes at least 30 days before they take effect. Your continued use of Syngine after changes take effect means you accept the updated Terms.


9. Termination

You Can Leave Anytime

You can delete your account at any time through your account settings. Account deletion is processed within 30 days.

We Can Suspend or Terminate Accounts

We may suspend or terminate your account if:

  • You violate these Terms or the Acceptable Use Policy
  • Your account is used for illegal activity
  • An organization administrator removes you from their workspace
  • We’re required to do so by law

We’ll try to give you notice before termination, except in cases involving illegal activity or immediate harm to other users.

Organization Administrators

Organization administrators can manage membership within their workspace. An admin can remove you from their organization, which removes your access to that organization’s content but does not affect your personal Syngine account.


10. Disclaimers

Syngine is provided “as is” and “as available.” We make no warranties, express or implied, about the platform’s reliability, accuracy, or fitness for any particular purpose.

We don’t guarantee that:

  • The platform will be available at all times
  • Content on the platform is accurate or complete
  • AI features will provide correct or useful suggestions
  • The platform will meet all of your needs

This isn’t because we don’t care. We care deeply about building something useful. But we’re a growing platform, and setting honest expectations is part of being trustworthy.


11. Limitation of Liability

To the maximum extent permitted by law, Syngine and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

Our total liability for any claim related to these Terms or your use of Syngine is limited to the amount you paid us in the 12 months before the claim arose, or $100, whichever is greater.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).


12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Arbitration

Any dispute that can’t be resolved informally will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in New York, New York. Each party will bear its own costs.

We chose arbitration because it’s typically faster and less expensive than court litigation for both sides. It also keeps disputes private, which benefits everyone involved.

You agree that any dispute resolution proceedings will be conducted on an individual basis, not as part of a class, consolidated, or representative action.

Small claims exception: Either party may bring a claim in small claims court if the claim qualifies.


13. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, Acceptable Use Policy, and any organization-specific agreements, make up the entire agreement between you and Syngine.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.

No Waiver. Our failure to enforce any part of these Terms doesn’t waive our right to enforce it later.

Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Notices. We’ll send notices to the email address associated with your account. You can send notices to legal@syngine.com.
